Official contest rules and video requirements

THE "GEARWRENCH® @ WORK VIDEO CONTEST" SWEEPSTAKES (“Sweepstakes”) starts on June 16, 2010 and ends on August 13, 2010. The Sponsor of this Sweepstakes is Apex Tool Group, 14600 York Road, Suite A, Sparks, MD 21152, a division of Easco Hand Tools Inc. (the “Sponsor”).
Eligibility:
This Sweepstakes is open only to legal residents of the United States who are 18 years or older at time of entry. Employees and their immediate families (defined as parents, children, siblings, spouse, and life or domestic partners) of the Sponsor, or any of their agents, affiliates, subsidiaries, parent and related companies, and those living in the households of same are not eligible. The laws of the United States apply to and govern this Sweepstakes and any claims must be raised and resolved in the United States. All Federal, state and local rules and regulations apply. Void where prohibited or restricted by law.
How to Enter:
Complete the entry form located at www.gearwrench.com. ALL ENTRIES MUST BE SUBMITTED BY AUGUST 13, 2010 TO BE ELIGIBLE FOR REVIEW BY THE PANEL OF JUDGES FOR SELECTION OF THE 10 FINALISTS. To enter, completely fill out the form. After you have filled out the form, click “submit and Upload Video”. Failure to fill out the entire form or click “submit and Upload Video” will prevent your entry from being received. Limit one entry per household. Sponsor is not responsible for late, lost, corrupted, incomplete, misdirected, inaudible, or other entries unable to be viewed, or for entries submitted in a manner that is not specifically allowed under these Rules. All such entries will be void. Entries become the property of the Sponsor and will not be returned. Only official entry videos will be accepted. False and/or deceptive entries or acts shall render entrants ineligible. Sponsor, Administrator, their respective affiliates, subsidiaries, parent corporations, and their respective officers, directors, shareholders, employees and agents, printing vendors and any and all Internet servers and access provider(s) are not responsible for: any incorrect or inaccurate entry information; human error; technical malfunctions; failures, omission, interruption, deletion, or defect of any telephone network; problems with or to computer online systems, computer equipment, servers, providers, printers, or software, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this Sweepstakes; inability to access the Web Site or pages thereof; theft, tampering, destruction, or unauthorized access to, or alteration of entries; data processing that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any web site; printing, typographical or other errors; and any mailed entries which are late, lost, incomplete, misdirected, stolen, mutilated, illegible or postage due; or any combination thereof. Proof of entering information at the Web Site is not considered proof of delivery or receipt of any video submission. By entering the Sweepstakes, entrants affirm that they have read and accepted these Official Sweepstakes Rules.
Winner Selection:
A winner will be selected by popular vote from among 10 finalist videos. The 10 finalists will be selected by a panel of judges appointed by the sponsor at the sponsor’s sole discretion. Jugdes will take into account accurate use of GearWrench branded tools in the video, the uniqueness of the project and/or environment, clarity of how GearWrench provides advantages over other competitive brands, among others criteria. Voting will take place on www.gearwrench.com from August 25, 2010 through September 28, 2010, and is open to the public. Voters may vote as many times as they wish, and all votes will be counted. The Winner and ten finalists will be notified by telephone, email and/or mail within three (3) days of the voting period and the finalists selection respectively, and will be required to complete, execute (notarize) and return an Affidavit of Eligibility & Compliance/Release of Liability and (except where prohibited) a Publicity Release and a completed IRS W-9 form within ten (10) days of issuance. A return overnight delivery air bill will be provided to facilitate the return of any required documents. Failure to return all required documents in this time period may result in the winner being disqualified and an alternate winner selected. Prizes are guaranteed to be awarded. If a prize notification or prize is returned to Sponsor or its fulfillment companies as undeliverable for any reason, it will be awarded to an alternate. No substitution for a prize by the winner will be permitted. Prizes are subject to availability. If necessary due to unavailability, a prize of comparable or greater value will be awarded at the discretion of the Sponsor. Prizes are not transferable, assignable or redeemable for cash.
The winner is responsible for all costs not specifically included in the prize description, including, but not limited to, all Federal, state and local tax liabilities. Acceptance of a prize constitutes permission (except where prohibited) to use the winner's name, address (city and state only), likeness and statements for publicity purposes without additional compensation or limitation.
Prize:
The prize to be awarded to the entrant and finalist receiving the most public votes in the video contest is: Reasonable and customary airfare, hotel, ground transportation, meals, and registration fees to attend the 2010 Specialty Equipment Manufacturers Association (SEMA) Show to be held November 2 through November 5 in Las Vegas, NV (ARV $5,000). All travel arrangement and accommodations will be coordinated, reserved, booked, and provided by the sponsor. The sponsor reserves the right to substitute prizes or terminate the sweepstakes at any time without notice. Prizes are not redeemable for cash. The odds of winning the prize are determined by the total number of eligible entries received for and are equal for each entry.
General:
By entering this Sweepstakes, entrants agree that Sponsor, Administrator, their respective parent companies, affiliates and subsidiaries, and their respective employees, officers, directors, shareholders and agents, and any other companies participating in the design, administration or fulfillment of this Sweepstakes (collectively "Releasees"), shall not be liable for personal injuries, death, damages, expenses or costs or losses of any kind resulting from participation or inability to participate in this Sweepstakes or acceptance of or use or inability to use a prize or parts thereof including, without limitation, claims, suits, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, infringement of rights of publicity or privacy, defamation or portrayal in a false light (whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory. The winner releases the Releasees from any and all liability and responsibility with respect to the prize (including any property loss, damage, personal injury or death). The winner acknowledges that the aforementioned individuals and entities have neither made nor are in any manner responsible for any warranty, representation or guarantee, expressed or implied, in fact or in law, related to the prize. If for any reason this Sweepstakes is not capable of running as planned, or if this Sweepstakes or telephone number or Web Site associated therewith becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries per these rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in Sponsors’ sole opinion, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsors reserve the right, at their sole discretion, to disqualify any individual implicated in such action, and/or to cancel, terminate, modify or suspend this Sweepstakes or any portion thereof. In the event this Sweepstakes is cancelled, Sponsors reserve the right to conduct closed panel selection to award the prize from among all eligible, non-suspect entries received prior to the time of the action or event warranting such cancellation. If such cancellation, termination, modification or suspension occurs, notification will be posted on the website at http://www.gearwrench.com. Any attempt by an entrant or any other individual to deliberately undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.
Construction:
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any participant and Sponsors, shall be governed by, and construed in accordance with the laws of the State of Delaware, without giving effect to any choice of law or conflict of law rules or provisions (whether of Delaware, or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than Delaware. All claims relating to the Sweepstakes must be brought in the federal or state courts located in Wilmington, Delaware, which shall have exclusive jurisdiction and venue over such claims. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. If any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not included.

To Submit Video:
For the GearWrench Video Contest we will be using the YouTube video specifications. Your video may be no larger than 1GB and no more than five minutes in length. We recommend the MPEG-2 or MPEG-4 format at 640x360 or 480x360 resolution with MP3 or AAC audio.
The following video formats will be accepted:

- .3GP (cell phones)
- .AVI (windows)
- .MOV (mac)
- .MP4 (ipod, psp)

- .FLV (adobe flash)
